Description

Position Summary
This position will be responsible for providing tax support for Danaher’s China and Hong Kong operations and entity structures, including tax planning, tax audit support, US tax accounting and reporting review, Corporate Income Tax returns review, Transfer Pricing Documentation review for holding companies and operating companies.  He or she will maintain close contact with operating units to gain a full understanding of the businesses and help minimize taxes.
This position will support the tax director to design and participate in the planning and implementation of reorganization projects and tax planning initiatives, and provide professional tax advice on the tax implications of planned transactions and changes in tax law.

Position Responsibility
The candidate will work closely with and report to China and HK Tax Director and will have the following responsibilities:
 
Tax advisory and planning
  • Participate in planning strategy to minimize taxes consistent with overall corporate objectives;
  • Assist with the review of proposed transactions, including acquisitions, disposals and reorganizations, in their formative stages and advise or propose changes to achieve the best tax results;
  • Assist in simplifying and rationalizing the China/HK corporate structure via the elimination of unnecessary legal entities;
  • Preparing slides and step plans for various tax planning or OPCO initiated projects
  • Maintain close contact with key financial managers at assigned operating units.  Gain an understanding of the businesses, financial statements and forecasts in order to maximize the opportunities for minimizing taxes;
  • Respond to tax related inquiries and provide professional tax advices to OpCos in time;
  • Assist in reviewing and managing PE exposure, including agency PE, service PE, etc.
  • Communicate with tax authorities where necessary;
  • Keep up to date with major tax regulation changes that impact the group and advise management accordingly;
Transfer pricing/Thin Cap
  • Assist business units in identifying any potential transfer pricing risks in accordance with China requirements and provide suggestions to mitigate them;
  • Work with Corporate Transfer Pricing team to review supply chains/transfer prices for companies within region of responsibility and adjust/document the ICTP policy as appropriate;
  • Review of Transfer Pricing Documentation reports and Thin Cap reports prepared by a big-4 firm for China;
  • Coordination of intercompany debt pricing performed by Danaher Treasury/third party adviser, if needed;
  • Review intra-group service charge mechanism of Danaher Shanghai Management Company;
    Mergers, acquisitions and divestitures
  • Involvement in tax due-diligence reviews, identifying tax exposures and advising on tax-efficient structuring.
    Tax accounting
  • Review Operating Companies’ (“OpCos”) US tax provision package and data input
  • Assist with the review of Effective Tax Rate forecast of China and HK entities;
  • Assist US tax department in aquicition accounting work during and after acquisition;
  • Review FIN48 accrual calculation of OpCos;
Tax Compliance
  • Identify potential tax compliance issues of OpCos via daily communication and propose professional tax advice to mitigate the compliance risks;
  • Provide tax related working/control processes recommendations to OPCOs to drive continuous improvements;
  • Maintain a healthy relationship with the in-charge tax authorities and external consultants;
  • Review the response to tax queries and support the tax audits of OpCos;
  • Review CIT annual filing returns for entities in the region;
  • Support the Non-trade payment applications of OpCos;
  • Inter-company loan data base review;
  • Review commercial contracts and intercompany agreements where needed;
    In-house training
  • Conduct tax related trainings to OpCos as needed;

Job Requirements



Qualifications

At least Bachelor’s degree in Accounting or related field;
  • 5+ years of direct experience with progressive responsibility in tax and accounting.
  • Strong US tax accounting skills to handle US tax provision and reporting independently;
  • Willing to take challenge and do detailed things
  • Ability to work independently and under pressure with strict time constraints
  • Good communication and analytical skills;
  • In-depth technical knowledge of Chinese tax law plus good understanding of international/US tax concepts;
  • Good verbal and writing skills in both English and Chinese
  • Mixture of professional firm and industry experience is a plus;
  • Certified Public Accounting (“CPA”) or Certified Tax Agent (“CTA”) is a plus.
