Description

Beckman Coulter Life Sciences, an operating company of Danaher Corporation, is seeking a Senior Contracts Specialist for its Indianapolis, IN office.  The Senior Contracts Specialist will be an integral part of the Company’s in-house legal department reporting directly to the Corporate Counsel.  The Senior Contracts Specialist will support the members of the department’s professional staff by reviewing, drafting, and editing a variety of contracts, contract administration, general corporate legal work, and other special projects as assigned. 

Day-to day responsibilities include:
  • Manage entire contract process and serve as the primary resource to the Company on contractual matters;
  • Evaluating and improving current contractual process
  • Creating and streamlining standard work
  • Sustaining implemented process across the organization
  • Engage with external customers and suppliers regarding contract terms
  • Maintain library of forms and resources
  • Act as liaison between internal teams and external parties to gather specifications and terms of agreements necessary for contract drafting and negotiations;
  • Ensure timely review and approval or reconciliation of various contract matters, including contracts such as Confidentiality Agreements, Consulting Agreements, Master Services Agreements, Material Transfer Agreements, Sales Agreements (including sales terms & conditions, bids, and modifications to sales agreements documents) as well as maintaining all contract templates and updating accordingly;
  • Independently review and edit agreements to meet the contractual requirements established by the Company
  • Have expanded conceptual and practical knowledge of contract review process, meaning of terms and clauses and acceptable level of risk for the company
  • Solve problems related to legal requests and contract review in low to moderate complexity situations; provides solutions using prior experience and precedent, and own judgment
  • Analyze, advise and provide solutions to the sales and service teams on contract terms
  • Apply innovative problem solving skills and judgement to assist in managing corporate risk.
  • Works within the guidelines and policies, as well as identifies and recommends process improvements
  • Able to explain complex information related to contract review process to others in straightforward situation
  • Train new and/or junior Legal team members on contract review standard work and applicable processes                  

Job Requirements



Qualifications

  • Bachelor's degree with 2 or more years of relevant experience is required.
  • Familiarity with contracts and contract law and have experience in reviewing, drafting, and editing a variety of contracts.
  • Paralegal certificate from an ABA-approved paralegal program (or any equivalent combination of related experience, training, and/or education) preferred
  • Proficient in MS Office (Word, Excel, Power Point)
  • Prior track record of success in setting up and managing contracts workflow and management processes
  • Working knowledge of non-disclosure agreements 
  • Demonstrated experience to identify and successfully solve problems using available facts and data
  • Demonstrated experience with identifying gaps in the process, process improvement and creating standard work.
