A material portion of this position’s work will be devoted to assisting
in the legal review of sales contracts for our global customer base.  In addition, this role drafts, reviews, and
modifies agreements such as technology, services, supply, consulting and
confidentiality agreements.  A strong
background in contract drafting and review is a requirement for this position
including a solid understanding of contract document provisions applicable to
healthcare sales contracts.

Corporate governance work:  draft consents, resolutions and other
corporate documents; coordinate appointment and removal of all corporate officers and directors.

Process markup of documents from legal department staff;
draft and review non-sales standard forms of contracts (NDAs, consulting, trade
show, hotel, etc.); maintain contract files, including following up on executed
versions of contracts and notifying business unit representatives of impending
important contract dates.

Serving as the legal department’s
coordinator for project requests from our internal clientele around the globe.

The role involves frequent contact with
business personnel to gather information, clarify objectives, and assess
compliance with legal and corporate policies. 
It requires excellent writing and other communication skills, and a high
level of responsiveness to business personnel in a dynamic and fast-paced

Provide litigation support by preparing quarterly litigation reports, coordinating document production, corresponding
with insurers regarding pending claims and facilitating the execution of
affidavits and subpoenas.

Assist with product liability
and auto claims
and coordinate the same with third party adjuster.

Assist with copying, drafting letters,
typing, sending UPS packages, etc.

Job Requirements


To perform this job successfully, an individual must be

Ability to work in a team-oriented environment and meet
tight deadlines.

Demonstrated ability to work with outside counsel and to
interact with senior management. Must demonstrate a high degree of
organizational skills and professionalism.

Strong presentation and written and verbal communication
skills; strong project management skills.


Requires a BA from an accredited college or university, a paralegal
certificate from an ABA accredited school (or any equivalent combination of
related experience, training, and/or education), plus four or more years of
experience as a paralegal which should
preferably be in-house for a corporation or a corporate law firm.

Language Ability:

Ability to read, analyze, and interpret general
business periodicals, professional journals, technical procedures, or
governmental regulations. Ability to write reports, business correspondence,
and procedure manuals. Ability to effectively present information and respond
to questions from groups of managers, clients, customers, and the general

Math Ability:

Ability to add, subtract, multiply, and divide in all
units of measure, using whole numbers, fractions, and decimals. Ability to
calculate figures and amounts such as discounts, interest, commissions,
proportions and to draw and interpret bar graphs. 

Computer Skills:

MS Word, MS Outlook,
MS Excel, MS PowerPoint and the Internet.  Candidates should possess a strong computer
software background and be comfortable gaining proficiency quickly as the
department utilizes various third party software applications.
