Beckman Coulter is recruiting for a Paralegal.  The position is based in our Brea, CA location. 

The Paralegal II is responsible for directly supporting client services, sales and legal with a wide range of commercial and services transactions for the North America Commercial Organization. Areas of responsibilities include but not limited to sales agreements, services agreements, master services agreements, business associate agreements, vendor agreements, requests for proposals and confidentiality agreements. The Paralegal II will provide proactive support, strategic analysis, recommendations and advice on commercial legal matters.


  • Draft, review and revise commercial and other agreements including RFPs, site access agreements, BAAs, HIPAA Business Associate Agreements, customer disputes and security agreements
  • Conduct legal and business research to then champion contract policy and procedure revisions
  • Support commercial sales and services with legal review of government contract along with terms and conditions
  • Draft commercial sales and services agreements with group purchasing organizations and integrated delivery networks and with customers, including revisions to customer terms and conditions
  • Train commercial sales and service on “battle of the forms” process
  • Draft standard agreements (e.g., confidential disclosure, material transfer, evaluation, and professional services agreements)
  • Engage with external customers and their legal representatives regarding contract terms
  • Provide guidance as required using independent judgment, action, and initiative while upholding all organizational and professional ethical standards
  • Maintain library of forms and resources and develop written procedures, work flow plans or other systems for practice areas as required
  • Professionally and diplomatically problem solve regarding customer concerns and other matters as necessary
  • Apply innovative problem- solving skills and judgment to assist in handling corporate risk while identifying standard methodologies to influence continuous improvement in the organization including positive relationships with cross functional peers and superiors 
  • Balance priorities and establish timelines to enable efficient processing of transactions


Job Requirements


To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required:
  • Familiar with anti-kickback, HIPAA, and medical device industry
  • Ability to work closely with business units, as necessary, while maintaining independent judgment and decision-making skills
  • Ability to apply analytical skills to interpret data and use independent judgment and discretion in developing solutions to address a variety of issues regarding contracts and related problems of moderate scope and complexity
  • Ability to quickly acquire knowledge of new business activities or issues
  • Ability to adjust to changing job requirements and priorities to meet dynamic needs and workflow
  • Ability to work in a collaborative environment and meet tight deadlines
  • Demonstrated ability to work with outside counsel and to interact with senior management
  • Negotiations skills are desired
  • Must demonstrate a high degree of organizational skills and professionalism
  • Strong presentation, written, and verbal communication skills; strong project management skills

  • A minimum of three years of related paralegal experience.  A BA/BS from an accredited college or university, a paralegal certificate from an ABA accredited school (or any equivalent combination of related experience, training, and/or education), plus five or more years of experience as a paralegal which should preferably be in-house for a corporation.

Language Ability:
  • Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the public.
  • Certificates and Licenses: Paralegal Certificate, CLA/CP Certification or equivalent paralegal experience.

Math Ability:
  • Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, fractions, and decimals. Ability to calculate figures and amounts such as discounts, interest, commissions, proportions and to draw and interpret bar graphs. 

Computer Skills:
  • MS Word, MS Outlook, MS Excel, MS PowerPoint and the Internet. Candidates should possess a strong computer software background and be comfortable gaining proficiency quickly as the department utilizes various third party software applications.
