Position Summary 

The Legal Counsel for APAC will be responsible for providing assistance in connection with a wide variety of compliance and contract matters in APAC for the dental business. The successful applicant will need to demonstrate an ability to assess the needs of the business from a compliance and contract perspective and work with the relevant business leaders to serve those needs.  

Responsibilities 
  • Gain a solid understanding of Dental businesses in APAC, their goals, and challenges and identify appropriate compliance and contracting strategies to facilitate those goals and minimize those challenges.
  • Prepare strategy for, negotiating, reviewing and drafting transactional documents, contracts and other legal agreements such as distributor and re-seller, engagements with Healthcare Professionals and Healthcare Organizations, RFP, public tenders non-disclosure and other basic agreements.  
  • Work with the compliance team and Chief Legal Counsel for Asia to identify and mitigate compliance risks and develop appropriate countermeasures.  
  • Conduct compliance-related investigations and implementing action plans to remediate identified issues.  
  • Advise on day-to-day general compliance questions and questions under local civil, commercial, corporate, conflicts of interest laws and policies.
  • Create, update and/or implement local agreement templates and compliance policies and procedures, taking into account local legal requirements and global policies.
  • Manage the corporate housekeeping for relevant legal entities in cooperation with global corporate secretary’s office. 
  • Identify and execute on opportunities for continuous improvement, efficiency and savings in providing legal services.
  • Willing to work on legal matters of different complexity
  • Enable and drive ethical business conduct through the effective implementation of the Integrity & Compliance program.
  • Redesign and review the compliance programs to ensure the region has an effective compliance risk control, especially anti-corruption program and regulatory compliance assurance. Lead project teams in implementing complex, cross-functional ethics and compliance initiatives.
  • Prepare status reports of compliance activities for management review.
  • Identify the gaps between legal requirements, compliance policies and business operations
  • Design, implement and update compliance policies to ensure clarity, applicability and compliance based on global and regional compliance requirements, applicable laws/regulations and industry best practices.
  • Develop annual training plan, conduct in-person compliance training and communication, and lead training material development, carry out the train the trainer activities. 
  • Maintain and enhance channel partner toolkits (CPTK) compliance program to make sure every dealer and channel partner comply with all applicable laws (including FCPA) and group policies. 
  • Conduct periodically site visits to marketing events. 
  • Manage Healthcare professional and marketing event contracts
  • Monitor marketing events log file and speaker fee payment log file.
  • Facilitate internal and external audits.
  • Continually provide advice on compliance topics and challenges
  • Provide support drafting and reviewing commercial contracts

Qualifications

Requirements
  • A recognized bachelor's degree in law is mandatory and overseas higher degree in law will be an added-value
  • Minimum 10+ years of relevant solid legal contract & compliance work experience and regional exposure
  • Experience working in a medical device or pharmaceutical business is strongly preferred
  • Extensive exposure to and success in a dynamic business environment. 
  • Prior experience conducting investigations 
  • Exercise sound and ethical judgment and experienced in making decisions that protect the company’s interests.  
  • Ability to explain complex legal points to clients with varying degree of knowledge of legal matters.
  • Ability to transform compliance requirements to business advantage
  • Proactive and a solid provider of practical solutions to problems. 
  • Independent and capable of tackling difficult, complex, and contentious legal issues
  • Comfortable providing guidance to senior management with the ability to evaluate and articulate risk
  • Able to prioritize and adapt to a face-paced and high-performance and lean environment with a relentless culture of continuous improvements
